s. Irwin is a San Antonio transactional business attorney and Senior Associate Attorney at Clausewitz Reyes. Sarah represents entrepreneurs, closely held
companies, nonprofit organizations, and growing businesses in matters involving business formation and restructuring, mergers and acquisitions, commercial
contracts, corporate governance, ownership transitions, employment and independent contractor relationships, franchise matters, and select oil and gas matters.

Sarah advises clients throughout the business life cycle. Her work includes
selecting and forming business entities, preparing and negotiating company
agreements, establishing ownership and management rights, drafting commercial
agreements, structuring acquisitions and sales, documenting buyouts and
redemptions, addressing succession and governance issues, and assisting with
reorganizations and dissolutions.

Sarah frequently serves as outside general counsel to companies that need
practical and responsive legal advice without maintaining an in-house legal
department. She works closely with business owners and leadership teams to
understand their operations, identify legal and commercial risks, and develop
solutions that support both current needs and long-term objectives.

Her approach is practical, strategic, and owner-focused. Sarah helps clients
understand not only what a contract or legal structure provides, but how it will
affect the company, its owners, its employees, and its ability to grow. She is
particularly experienced in addressing the legal issues that arise when ownership,
management, or business relationships change.

As Co-Founder of Luke’s Lodge and Mezzo Poodles, Sarah also brings firsthand
entrepreneurial experience to her legal practice. Her experience building and
operating a service-based business gives her a direct understanding of the
financial, personnel, contractual, operational, and risk-management decisions
faced by business owners.
